Five Flags By Laws

Article I – DUTIES OF THE PRESIDENT
Section A: Shall preside at all meetings of Five Flags Football Officials Association.
Section B: Shall make all appointments not otherwise provided for in the Constitution and By-Laws.
Section C: Shall be a member “Ex-Officio†of all committees.
Section D: Shall approve and sign all contracts on behalf of the association.
Section E: Shall be the Chairman of the Constitution and By-Laws Committee
Section F: Shall assume the presidency January 1st following the annual election and be relieved December 31st of that year.
Section G: Shall have final approval of all assignments.
Section H: Shall assist the Secretary/Treasurer in the administration of association funds.
Section I: May authorize any expense of less than $100 from associational funds for related Five Flags Football Officials Association business matters.
Article II – DUTIES OF THE VICE-PRESIDENT
Section A: Shall assume the duties of the President in their absence.
Section B: Shall assume the Presidency should the President resign or be removed from office.
Section C: Shall assume the Vice-Presidency January 1st following the annual election and be relieved December 31st of that year.
Section D: Shall assist the Secretary/Treasurer in the administration of association funds.
Article III – DUTIES OF THE SECRETARY/TREASURER
Section A: Shall keep full and accurate records of all associational meetings.
Section B: Shall send out notices ordered by the President or Executive Board.
Section C: Shall have charge of all associational funds, collect all dues and pay any obligations ordered by the President or Executive Board.
Section D: Shall ensure that any expenditure greater than $500.00 is approved by the general membership.
Section E: Shall prepare and submit a financial report at each business meeting and provide a copy for any member upon request.
Article IV – DUTIES OF AT-LARGE BOARD MEMBERS
Section A: The two at-large board members shall carry out duties assigned by the President or Executive Board.
Article V – OTHER POSITIONS, DUTIES OF THE ASSIGNMENT DIRECTOR
Section A: Shall be elected by the general membership.
Section B: Shall be paid at a rate established by the Executive Board.
Section C: Shall assist the President in obtaining contracts and the scheduling of officials.
Article VI – REMOVAL FROM OFFICE
Section A: Any officer or director shall be removed from office if:
- They fail to attend at least 50% of all regularly scheduled board meetings.
- They are found to have misappropriated associational funds.
- They fail to remain an active member in good standing.
Section B: Any officer or director can be removed from office by a two-thirds vote of the membership at any scheduled business meeting.
Article VII – STANDING COMMITTEES
This association shall have four standing committees: Constitution/By-Law, Training, Grievance, and Nominating. Duties will be as follows:
Section A: The Constitution /By-Law Committee shall:
- Review the current Constitution and By-Laws to ensure that it meets the needs of the association and to review or recommend any amendments or improvements.
- Report its findings and proposals to the Executive Board.
- The President shall be the chairman of this committee.
Section B: The Training Committee shall:
- Establish a training program to include, but not limited to, the following areas:
- On-field mechanics
- Referee development
- New member orientation
- Player and coach control
- Proper dress and etiquette
- Clock operator training
- Pre-game training
Section C: The Grievance Committee shall:
- Consist of five (5) members.
- No member of the Executive Board may serve as a member of the Grievance Committee.
- Review all grievances and complaints in the presence of all parties involved.
- Direct a solution to any grievances or complaints within the guidelines of the Constitution and By-Laws.
- Report their findings, decisions, or solutions to the general membership.
- Decisions and/or solutions by the Grievance Committee are final.
- Any party dissatisfied with a decision or solution by the Grievance Committee may use the appeal process within the guidelines of the Constitution/By-Laws.
Section D: The Nominating Committee
- Members of the Nominating Committee shall be appointed by the Executive Board.
- The committee shall submit to the general membership a list of qualified members, by office, for election.
- No member nominated for office may serve on the Nominating Committee.
- The committee shall notify the general membership as to the date of the annual election.
- Nominations for each office will be taken from the general membership one week prior to the annual election.
- Nominations will also be taken on the date of the annual election.
- Absentee ballots will be used within the guidelines of the Constitution and By-Laws.
Article VIII – DISCIPLINARY ACTION
Section A: The Executive Board authorizes an appointed Grievance Committee to suspend, reprimand or fine any member(s) who:
- Conducts themselves, on or off the field, in a manner, which is not conducive to the best interest of this association.
- Violates, cancels or fails to show up for any assignment made by this association.
- Appears at a game site with the odor of or under the influence of alcohol.
- Is guilty of unsportsmanlike conduct during an assignment.
- Uses tobacco or tobacco like products during a game or on the playing field.
- Fails to attend at least 50% of all scheduled meetings.
- Fails to arrive for an assignment in a timely manner.
Section B: Any disciplinary action may be appealed within the guidelines of the Constitution and By-Laws.
Section C: Any fine may not exceed the annual dues rate times the number of times of the offense. (i.e., if the annual dues are $15.00, 1st offense = $15.00; 2nd offense = $30.00; 3rd offense = $45.00, etc.)
Article IV – APPROVAL OF CONSTITUTION AND BY-LAWS
Section A: The Constitution and By-Laws will be approved first by the Executive Board and then by a majority vote by the general membership.
Section B: Any active member may suggest changes or amendments to the Constitution and By-Laws.
Section C: Any and all changes or amendments will be done in accordance with the guidelines within the Constitution and By-Laws.
