Five Flags Constitution

Article I – NAMEThe name of this organization shall be FIVE FLAGS FOOTBALL OFFICIALS ASSOCIATION.

Article II – PURPOSE

The purpose of this organization shall be for the betterment of sports officiating; to promote uniform interpretation and administration of contest rules and league regulations; to maintain a uniform standard of qualification for officials; and to promote a high standard of integrity among officials and good sportsmanship among all participants.

Article III – MEMBERSHIP

Section A: Any person 16 years or older who is sympathetic with the aims and purpose of this organization shall be eligible for membership.

Section B: All members must attend a minimum of 50% of regular scheduled meetings in order to maintain their active membership.

Section C: All members must pay their annual dues on or before the third meeting after the season begins. If they so desire, members have the option of having their dues deducted from their game fees.

Section D: All members who have not fulfilled all requirements to maintain active membership shall be placed on an inactive list until they are eligible for active membership, or are removed by the Executive Board from the inactive list.

Section E: Members who are placed on the inactive list may have their dues, which they have paid in advance, frozen while on the inactive list.

Section F: A member shall be deemed to be in “good standing” if they are on the active list, their dues are current, have attended at least 50% of the meetings and are not subject to any disciplinary action.

Article IV – ADMINISTRATION

Section A: This organization shall be governed and administered by an Executive Board, elected by members on the active list, consisting of a President, Vice-President, Secretary/Treasurer and two members at-large.

Section B: The Executive Board shall have the authority to fill all vacancies of elected officers. Such appointees complete the unexpired term of the one succeeded.

Section C: The Executive Board shall set annual dues and any assessments.

Section D: The Executive Board shall appoint only active members in good standing to any committee.

Section E: The Executive Board has the authority to establish any committee(s) needed to properly conduct association business.

Section F: The Executive Board shall validate all members excused absences from any meetings.

Section G: The Executive Board may authorize any expenditure(s) less than $500.

Section H: The Executive Board may authorize contracts in other sports in addition to football providing such contracts do not lead to conflicts with the association’s primary responsibility of football.

Section I: The President shall be the chairman of the Executive Board.

Section J: The Executive Board shall not meet without the President or Vice President being present.

Article V – ELECTION OF THE EXECUTIVE BOARD

Section A: The association shall hold annual elections for the purpose of electing Executive Board members.

Section B: Only active members in good standing for the previous three (3) consecutive years in this association shall be eligible for election to the Executive Board.

Section C: For the purpose of election eligibility, each candidate’s time requirements shall be completed prior to August 1st of the year nominated for office.

Section D: All active members in good standing shall have equal voting rights.

Section E: No member shall be eligible for election to the Executive Board while serving in an elected position with another association.

Section F: Active members in good standing who are unable to attend an election may vote by absentee ballot provided they notify a member of the Executive Board. Absentee ballots must be signed and in a sealed envelope.

Article VI – MEETINGS

Section A: The association shall conduct monthly business meetings from August through November.

Section B: One half shall constitute a quorum for the transaction of associational business at all business meetings.

Section C: The association shall conduct rules interpretation meetings, as needed, throughout the football season.

Article VII – AMENDMENTS

Section A: This Constitution may be amended by a two-thirds vote of the active membership at any regularly scheduled business meeting.

Section B: All proposed amendments shall be submitted to the Constitution/By-Laws Committee for review and forwarded to and approved by the Executive Board prior to submission to the membership for vote.
